1. Acceptance of Terms

Welcome to TuneTaxi, Inc.’s Production Music platform (“TuneTaxi”, “we”, “us” or “our”). By accessing or using our website and services (collectively, the “Service”), you agree to be bound by these Terms of Use (“Terms”). These Terms form a legally binding agreement between you and TuneTaxi, Inc., a Delaware corporation, governing your use of the Service. If you do not agree with any part of these Terms, you must not use the Service.

2. Eligibility and Accounts

• Age Requirements: The Service is available worldwide and may be used by individuals of all ages. If you are under the age of 18 (or under the age of majority in your jurisdiction), you must have the permission of a parent or legal guardian to use the Service and to accept these Terms on your behalf. By using the Service, you represent that you have this permission. Users under 13 years of age are not permitted to create an account without parental consent, in compliance with applicable law.
• Account Registration: Some features (such as downloading high-quality files or stems) may require creating an account and selecting a subscription plan. You agree to provide accurate, current, and complete information during registration and to keep your account credentials secure. You are responsible for all activity that occurs under your account.
• Account Termination: We reserve the right to suspend or terminate your account at any time if we believe you have violated these Terms or engaged in unlawful or improper use of the Service.

3. Description of Service

TuneTaxi is an AI-driven production music platform offering an extensive library of royalty-free, AI-generated music for personal and commercial use. Users can either:

• Free Use: Stream or download a standard-quality version of tracks at no cost.
• Premium Subscription: Subscribe for a fee to access premium features, such as high-quality WAV downloads, stems (separate instrument tracks), or other advanced options. Subscription details and pricing are available on our site (see Section 4).

All music provided by TuneTaxi is generated autonomously by artificial intelligence and carries no traditional copyright restrictions. This means you can use TuneTaxi music in your projects without paying royalties or obtaining additional licenses, as explained in Section 5.

4. Subscription Plans and Payment

• Plans and Billing: TuneTaxi offers subscription-based plans (e.g., monthly or annual) for premium access. By subscribing, you authorize us to charge the subscription fee to your provided payment method. Payments are processed by our third-party payment provider (Stripe) on behalf of TuneTaxi. Charges may appear under the name “TuneTekz Inc.” (an affiliated entity) on your billing statement, as TuneTekz Inc. is the party responsible for billing and payment processing for TuneTaxi’s services.
• No Refund Policy: All fees are non-refundable. Once you begin a paid subscription, you are committing to the subscription term selected, and no refunds or credits will be issued for early cancellation, partial use, or unused services. This “no refunds” policy applies to all subscription fees, except where prohibited by applicable law. We reserve the right to offer promotions or free trial periods; however, once a paid subscription starts (after any trial), charges are final.
• Cancellation: You may cancel your subscription at any time via your account settings. Cancellation will prevent future billing, and you will retain access to premium features until the end of your current paid term. No pro-rated refunds will be provided for the remaining period after cancellation.
• Changes to Fees: TuneTaxi may modify subscription fees or introduce new charges with advance notice. Any fee changes will be communicated to you and will take effect at the start of your next billing cycle. If you do not agree to the new fees, you must cancel your subscription before the changes apply. Your continued use of the Service after the fee change constitutes your agreement to pay the modified amount.

5. License to Use TuneTaxi Music

All music tracks made available through TuneTaxi are AI-generated and free of traditional copyright. TuneTaxi either owns no copyright in these tracks or waives any rights to the extent permitted by law, given that purely AI-generated works are generally not eligible for copyright protection and fall into the public domain. You are granted a broad, worldwide, royalty-free license to download, use, and modify the music from our Service for any lawful purpose, including but not limited to:

• Personal and Commercial Use: You may use TuneTaxi tracks in personal projects, commercial videos, films, podcasts, advertisements, social media content, games, live events, radio/TV broadcasts, and other media without paying any royalties or licensing fees. The music is free of synchronization fees and performing rights royalties – no additional clearance is needed for syncing to video or public performances (the tracks are not registered with any Performing Rights Organization).
• No Attribution Required (But Appreciated): You are not legally required to credit TuneTaxi or the AI composer when using the music. We provide these tracks with no attribution obligation. However, we kindly encourage users to give a shout-out to TuneTaxi (for example, mentioning us on social media or using our share buttons) to help others discover the platform. This is optional and at your discretion.

By using TuneTaxi music, you acknowledge that no party (including you or TuneTaxi) can claim exclusive copyright ownership of these AI-generated tracks. They are intended to be free for all to use. TuneTaxi will not assert intellectual property rights over the music content, and in return you agree not to assert any intellectual property claim over any music obtained from our Service.

6. Prohibited Conduct and Copyright Claim Restriction

While we encourage wide use of TuneTaxi’s music, we strictly prohibit the following:

• Claiming Ownership or Copyright: You must not claim to own, register, or enforce copyright in any TuneTaxi track. Attempting to register a TuneTaxi-generated track with any copyright office or content identification system (e.g., YouTube Content ID) as your own copyrighted material is a serious violation of these Terms. Because 100% AI-generated content cannot be copyrighted by any individual, any such claim by a user is knowingly false and may be considered a fraudulent or abusive copyright claim under the law. TuneTaxi reserves the right to take legal action against users who falsely claim rights in our AI-generated music. This may include terminating your account and, if appropriate, reporting the incident to authorities for fraud. You should be aware that making false copyright claims can carry legal consequences, including liability for damages and attorneys’ fees under U.S. law (17 U.S.C. §512(f)) and potential criminal penalties for perjury in some cases.
• Resale or Distribution as Stock Music: You may not resell, redistribute, or upload TuneTaxi tracks as part of another music or sound library, stock music collection, or AI model dataset without our permission. In other words, you cannot take our free tracks and package or market them as your own music product or service. (Using them as part of your video, game, or other creative project is fine – simply don’t offer the raw music files themselves as a competing service.)
• Unlawful or Harmful Use: You may not use the Service or TuneTaxi music for any unlawful, defamatory, infringing, or fraudulent purpose. This includes, for example, using the music in a manner that violates the rights of others, or in connection with hate speech, harassment, or any content that is illegal under applicable laws.
• Interference with Service: You shall not interfere with or disrupt the Service’s functionality (e.g., by attempting to bypass download limitations or security measures, deploying automated bots to mass-download content, or attempting to reverse-engineer our AI systems). Any such activities may result in suspension of access.

7. Intellectual Property of Other Service Elements

• TuneTaxi Branding & Site Content: While the individual music tracks are not subject to copyright, all other content on the TuneTaxi website and Service (including but not limited to text, graphics, the website design, software code, compilations, and the TuneTaxi name and logos) are protected by intellectual property laws and remain the property of TuneTaxi or its licensors. You do not acquire any ownership rights in those aspects of the Service. You may not use TuneTaxi’s trademarks, logos, or other proprietary graphics without our prior written consent, except as part of authorized use of the Service (for example, using our provided share tools or APIs in accordance with their guidelines).
• User Content: If you are able to post content (for example, comments, feedback, or custom music prompts/requests) on our platform, you must ensure you have all necessary rights to do so. By posting any content on the Service, you give TuneTaxi a license to use, display, and distribute that content as needed to operate or promote the Service. You remain responsible for anything you submit, and such content must not violate any laws or rights of others.

8. Disclaimer of Warranties

TuneTaxi provides the Service and all music tracks “AS IS” and “AS AVAILABLE” without any warranty of any kind. To the fullest extent permitted by law, we expressly disclaim all warranties, whether express, implied, or statutory, regarding the Service and the content provided, including:

• No Guarantee of Non-Infringement: We do not warrant that the AI-generated music is completely unique or free from any resemblance to other works. TuneTaxi’s AI technology generates up to 100,000 songs daily based on machine learning algorithms. Given this volume and the nature of AI, there is a remote possibility that a generated track may coincidentally resemble or partially replicate a pre-existing work. While we strive to avoid this and we respect intellectual property rights, we make no warranty that TuneTaxi content will not infringe someone else’s copyright or other rights. (If we are alerted to a potential infringement, we will act promptly as noted in Section 9.)
• No Fitness for Particular Purpose: We make no promise that the music or Service will meet your specific requirements, goals, or expectations. For example, we do not warrant that TuneTaxi music will always avoid content identification (Content ID) claims or be accepted by all third-party platforms. Use of TuneTaxi tracks in any project is at your own risk.
• Service Availability: We do not guarantee that the Service will be uninterrupted, error-free, or secure. Occasional downtime, technical issues, or content removal (for example, if a track is flagged under our DMCA policy) may occur.
• General Disclaimer: All other warranties, including any implied warranties of merchantability, title, accuracy, or non-misappropriation, are disclaimed.

In jurisdictions that do not allow the exclusion of certain warranties, some of the above disclaimers may not apply to you to the extent disallowed by law. In such cases, TuneTaxi’s warranties shall be limited to the minimum permitted by applicable law.

9. Limitation of Liability

To the maximum extent permitted by law, TuneTaxi (and its officers, directors, employees, agents, and affiliates) will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of (or inability to use) the Service or any TuneTaxi content. This includes, without limitation, damages for loss of profits, loss of data, business interruption, or damage to reputation, even if we have been advised of the possibility of such damages.

In particular, TuneTaxi shall not be liable for any claims or losses arising from: (a) your use of an AI-generated track that might be subject to a third-party claim of infringement; (b) removal of or inability to use certain music tracks after a DMCA takedown or other legal dispute; or (c) any actions we take to protect our legal rights or the rights of others (such as removing content, suspending accounts, or reporting misuse to law enforcement).

Monetary Cap: In all cases, TuneTaxi’s total cumulative liability to you for any claims arising out of or relating to these Terms or the Service will not exceed the amount (if any) that you paid to TuneTaxi for the service in the twelve (12) months immediately preceding the event giving rise to the liability. If you have not paid TuneTaxi any amount (for example, if you only used the free service), TuneTaxi’s liability shall be zero to the fullest extent permitted by law.

Consumer Rights: Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so certain limitations above may not apply to you. Nothing in these Terms is intended to exclude any liability that cannot be excluded under law (for example, certain statutory warranties that may apply to consumers, or liability for intentional misconduct).

10. DMCA and Copyright Infringement Policy

TuneTaxi respects the intellectual property rights of others and expects users to do the same. Although our tracks are generated by AI and not supposed to infringe copyrights, we have implemented a Digital Millennium Copyright Act (DMCA) Compliance Policy in case a copyright owner believes that content on our platform infringes their rights. If you believe a TuneTaxi-generated track infringes your copyright, please notify us by submitting a DMCA Takedown Request with the required information (identification of the work, location of the content, your contact info, and a sworn statement of unauthorized use). Detailed instructions can be found on our DMCA policy page or by contacting us at dmca@tunetaxi.com.

Upon receiving a valid notice, we will promptly remove or disable access to the allegedly infringing track and notify the user who downloaded or used it. That user may then send us a counter-notice if they believe the takedown was mistaken. We will follow the DMCA procedures, which may include restoring the content if a valid counter-notice is received and the original complainant does not file a court action within 10 business days.

User Responsibility: If you are the user of a track that becomes subject to a takedown or infringement claim, you understand that TuneTaxi’s role is to address the claim through the DMCA process. You are solely responsible for any consequences of using the track in your own projects. For example, if you used a track in a video that is later flagged or removed due to an infringement claim, TuneTaxi is not liable to you for those consequences (per Sections 8 and 9 of these Terms). We recommend having backup plans for critical projects and monitoring any disputes.

11. Indemnification

You agree to indemnify, defend, and hold harmless TuneTaxi, Inc., its parent, affiliates (including TuneTekz Inc.), and their respective officers, directors, employees, and agents, from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) that arise out of or relate to:** (a) your use of the Service or any music tracks** obtained through TuneTaxi; (b) your violation of these Terms or of any law or regulation; or (c) your infringement or alleged infringement of any third-party rights (including intellectual property rights) in connection with your use of TuneTaxi music or content.

This means you will pay all costs and damages that we incur (and that a court finally awards or that are included in a settlement approved by us) arising from any claim that falls within the scope of the above paragraph. For example, if you use a TuneTaxi track in a commercial and someone alleges that the track infringes their copyright (or that our AI training process infringed their rights) and sues TuneTaxi or its affiliates, you agree to cover any judgment or settlement costs imposed on us due to that claim. Similarly, if you falsely claim copyright over a track and a third party or government authority takes action against TuneTaxi as a result, you must indemnify us. We will provide you with prompt notice of any such claim and coordinate in good faith on the defense. This indemnity remains in effect even after you stop using the Service or your account is terminated.

12. Governing Law and Jurisdiction

These Terms and any dispute arising from them or the Service are governed by the laws of the State of Delaware, USA, without regard to its conflict of law principles. We choose Delaware law because TuneTaxi, Inc. is incorporated in Delaware and we seek consistency in how these Terms are interpreted. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

Jurisdiction: You agree that any legal action or proceeding arising under or relating to these Terms shall be brought exclusively in the state or federal courts located in the State of Delaware, and you consent to the personal jurisdiction of such courts. (If you reside outside the United States, you acknowledge that you are voluntarily accessing the Service from abroad and still agree to Delaware jurisdiction. Nothing in this section prevents TuneTaxi from seeking injunctive relief in any appropriate jurisdiction if necessary to protect our rights.)

International Use: We make no representation that the Service is appropriate or available in all locations. If you access the Service from jurisdictions with laws differing from the U.S., you do so at your own risk and are responsible for compliance with local laws.

13. Changes to Terms

TuneTaxi may modify these Terms from time to time, for example to reflect changes in our Service, legal requirements, or operational practices. We will provide notice of material changes (e.g., by posting an update date at the top of these Terms, or by email notification to registered users). Continued use of the Service after updated Terms take effect constitutes your acceptance of the changes. If you do not agree to the revised Terms, you should stop using the Service and, if you have an account, you may cancel your subscription as described in Section 4. For any changes that we deem material, we may, at our discretion, seek to obtain your explicit consent if required by law (for instance, from a parent or guardian if you are a minor and the changes affect minor users significantly).

14. Miscellaneous

• No Waiver: If we do not enforce a provision of these Terms, it will not be considered a waiver of our rights. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of TuneTaxi.
• Severability: If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible and the remaining provisions of these Terms will remain in full force and effect.
• Entire Agreement: These Terms (along with any additional guidelines, policies, or documents expressly incorporated by reference, such as our Privacy Policy and DMCA Compliance Policy) constitute the entire agreement between you and TuneTaxi regarding the Service, and supersede any prior agreements or understandings (whether written or oral) relating to the Service.
• Assignment: You may not assign or transfer your rights or obligations under these Terms to any third party without our prior written consent. TuneTaxi may freely assign these Terms as part of a merger, acquisition, corporate reorganization, or sale of assets, or by operation of law or otherwise.
• Relationship: These Terms do not create any joint venture, partnership, employment, or agency relationship between you and TuneTaxi. You are using the Service as an independent party.
• Headings: Section titles and headings in these Terms are for convenience only and have no legal effect.
